Technology up-gradation, warranted because of intense competition, has necessitated the Indian corporate sector to seek funds not only from India but also from abroad by floating Global Depository Receipts (GDRs). Large number of foreign institutional investors is now actively participating in the Indian Capital Market.This has also necessitated the need for good governance since capital easily flows towards companies which are effectively governed and which have the motive of increasing the value of shareholders as well as the society. EMERGENCE OF CORPORATE GOVERNANCE IN INDIA: The need to formulate a code of principles embodying good governance was felt in India as early as 1995-96. In India, initiative on corporate governance began with the Confederation of Indian Industries [CII] setting up in 1996 a National Task Force under the Chairmanship of Mr. Rahul Bajaj. The task force presented its recommendations and Code for Corporate Governance in 1997 which were then debated publicly.SEBI, the corporate regulator, appointed a Committee on 7th May, 1999 under the Chairmanship of Mr. Kumar Mangalam Birla to frame the guidelines for corporate governance in India. The Committee had made 25 recommendations in all. Of them, 19 are mandatory and the remaining is non mandatory. The mandatory recommendations broadly includes new listing norms to be followed by the company, conducting Board meetings at least four times a year, constitution of audit committee, optimal blend of executive and non executive directors as well as appointment of independent directors, issue of quarterly reports etc.On the other hand, non mandatory recommendations suggest that investment institutions are not to be permitted by the Board. The Department of Company Affairs has initiated a legislative action in the Lok Sabha on 6th December, 1999 for the amendment of the Companies Act. ROLE OF MAJOR PLAYERS IN CORPORATE GOVERNANCE: Where the Government and other regulatory agencies provide a platform through legislations and rules, the Board of directors, auditors, shareholders, financial institutions, company secretaries and the employees play their individual role for proper governance. Role of the BOD: A Working Group has recommended a Statement of Directorââ¬â¢s Responsibility [SDR] to be attached along with the annual accounts for better transparency. SUGGESTIONS FOR EFFECTIVE CORPORATE GOVERNANCE: Effective honest and transparent corporate governance is required for enhancing the wealth and worth of the company, for promoting welfare of the society, for the success of the company, for protecting the interest of investors and other stakeholders and for fulfilling the responsibility and accountability of directors. Hence the following suggestions may be useful in meeting challenges before them and for solving a number of problems which ahs been created during recent times.Downsizing: One theoretical step towards instilling ethical values in the modern corporation is to downsize or breakup the corporate entity. Autonomy would eliminate long bureaucratic chains and increase personal motivation, communication and accountability. Long-termism: The emphasis on short term profitability creates a significant degree of instability within corporations and lead to short termism. Markets requi re quick results and generally discourage long term investment. This leads to an unnecessary dissipation of corporate resources towards meaningless ends.Dealing with risk and uncertainty: The economic and technological environment is fast changing than ever before which results in great difficulty in planning reliably for the long term. In such a scenario, ethical endeavor drawn from longer planning suffers significantly. Curbing Corporate Power: The modern corporation commands significant power which has a profound influence on government and legislative process. In a recent GAAT agreement, it had been alleged that governments merely act as pawns ââ¬â it was the corporate lobbyist and agents who drafted the agreement and pushed governments into signing it.Limit on the number of Directors: The number of companies in which a person can work as director has been kept at 20. This should be reduced to 10 in order that the director has to attend a few companies and play an effective role in company management. Bringing down the number of part time directors: For efficient corporate governance it is essential that directors devote as much of their time as possible. This will be possible only when the number of part-time directors is reduced and full time directors are appointed.Frequent reporting and transparency: Quarterly un-audited financial statements are required to be published. Accounts must be audited in time and social audit must also be undertaken. In all respects, transparency would infuse confidence in investors and would make the directors more conscious of their accountability. Appointment of audit committees should be made compulsory: It is advocated that audit committees should be compulsorily appointed consisting three independent directors who will go through the progress, policies and practices adopted by the Board.SEBI has recommended that appointment of audit committees should be made compulsory by law. Adjustments to be made along with changing times: The corporate governance has to adjust itself to environmental factors, population constituents, political position, economic factors, social factors and technological changes and must solve the problems arising out of such a situation in rational and logical manner.High ethical standards to be maintained: Maintaining high ethical standards is one of the most powerful features of good corporate governance which would include working with honest policies and practices, not accepting any secret commission, not indulging in competitive collision and not to indulge in untrue and misleading advertisements. The non executive directors should be given due importance: Non Executive directors must be given due importance and their opinions and advice must also be needed.Regular board meetings: Regular board meetings would make corporate governance more effective as policies and strategies would be framed and discussed frequently and performan ce evaluations would be undertaken. CONCLUSION: In India, the existing corporate governance framework has failed to encourage corporate sector to voluntarily adopt higher corporate governance standards, necessary to compete both nationally and internationally.The availability of effective legal remedies of the stakeholders in case of mismanagement, the exercise of which requires reliable and adequate information, is essential. Disclosures by the management on a timely basis can provide stakeholders with the information required to arrive at informed decisions regarding the corporation. The ability of the market to regulate is rather doubtful. Therefore, the essential nature of regulatory institutions and mechanisms, both inside and outside the corporation, cannot be overemphasized.Self regulation can significantly assist in achieving the right regulatory framework. In the corporate structure, the role of the different stakeholders should be more clearly defined. If ââ¬Å"Good Corporate Governanceâ⬠is to become a reality, it is necessary that the company and its promoters adopt a transparent policy regarding the proper use of funds and properties of the company. The promoters should realize that they are the custodian of the company as trustee for the people connected with it. The promotersââ¬â¢ stress should be for the best use of the companyââ¬â¢s resources for its benefits. LIFE SCIENCES -------------------------------------------------- Myopic little men in tuxedos, or highly efficient land/water animals? Recent research indicates there's more to penguins than meets the eye. If you've every wondered what it would be like to be able to see as clearly under water as you can on land, just ask the nearest penguin.Most aquatic animals are short-sighted on land. Most terrestrial animals (and that includes us) are far-sighted under water. But researchers have discovered that penguins can apparently see equally well in both environments, because of the unique structure of their eyes. Penguins have to be able to see well under water because their diet consists mainly of plankton, molluscs, crustaceans, and the inevitable fish. Through a special slowing-down of their heart rate they're able, like many other diving animals, to stay submerged long enough to search out and chase whatever catches their fancy. On dry land, it's a different story-or has been up to now. Waddling along on their flat little feet, eyes fixed intently on the ground, penguins appear myopic, inefficient and generally out of place. In fact the reverse is true. During a recent stay on the Falkland Islands, a Canadian researcher discovered that penguins are able to recognize individuals and navigate the rocky terrain on which they live quite well. Long of body and short of leg, they probably poke their heads forward as an aid to balance. And as for looking at the ground, they're merely-like us-keeping an eye on where they're going. The human eye is adapted for aerial vision, which is why scuba divers-or even you and I in the local swimming pool-must wear goggles or a face mask to re-introduce air in front of our eyes in order to see clearly. Among vertebrates in general, the bird eye is frequently described as the most efficient. Its superior quality, combined with the fact that a large number of birds-cormorants, pelicans, seagulls, even ducks, as well as penguins-get their food from water, obviously deserved research beyond that possible in a controlled environment such as an aquarium or zoo. Professor Jacob Sivak of the University of Waterloo and his associate, Professor Howard Howland of Cornell University, had a chance to do that research recently. Their trip had but one purpose-to study the structure of penguins' eyes while observing their natural habitat. The Falkland Islands, off the coast of Argentina, offered this opportunity, being one the few areas outside Antarctica where penguins can be found in large numbers. Three of the 16 known species were located there: the Gentoo, which live on flat areas right off the beach; the Magellan (also called Jackass), which live in burrows; and the Rock-hoppers, which live among the rocks along the cliffs. The Rock-hoppers were by far the most common, having a population of well over 100,000. The general rule is, the smaller the penguin, the meaner the temperament, and the researchers did witness the odd fight. Their flippers may look pretty useless out of water, but it's not smart to play around with a penguin. Hel'll stand his ground in a face-off and if you're foolish enough to get too close, those flippers can knock you flat. Dr. Sivak and his associate, however, had little trouble. Rock-hoppers always congregate in fairly tight groups, as a defense against predatory birds such as the skua (a large seagull that thinks it's a hawk), and two more upright figures in their midst didn't seem to bother them. Standing as close to their subjects as 0.3m, the scientists used two devices: one, developed by Professor Howland, to take photographs of the penguins' eyes; the othger, developed by Dr. Sivak, to shine a series of concentric circles on the cornea and give a measurement of how reflections of objects are altered by curvature of the eye. Despite the fact all the work had to be done at night-the only time the penguins' pupils were dilated enough-the results were worth it. Comparison of the photographs with similar photos of human eyes, and study of the internal structure of the eyes of creatures discovered killed by seal lions, proved the scientists' theory that the penguin's eyes are the secret of its survival. In general terms, a penguin eye and a human eye are almost identical. Both have the same components necessary for vision-a cornea through which light can enter; an iris which controls the amount of light that enters; and a crystalline lens that focuses the light onto the back of the eye where a specialized membrane, the retina, receives it and passes the message along the optic nerve to the brain for interpretation. Should the Death Penalty be Abolished? Everyone has different beliefs about the death penalty. Some people believe it is barbaric and inhumane to put someone to death who has been convicted, while others feel that the death penalty gives resolution to the victim's family and friends. The death penalty is used to punish criminals for the wrong they have done. However, I believe that killing a person to "punish" them is not enough. People cannot suffer and think about the anguish they have caused people if they are put to death. Keeping the criminals alive and doing manual labor for the rest of their lives, without parole, is a better method of punishment. The way the government is now, many criminals are sentenced to death and may remain on death row for many years. Marital Relationships as Portrayed in the Short Stories...
Love As A Battlefield Love has always been complicated. Whether you were married in 1700 or 2012, there are many things well just never understand. But what if you were married in the late 1800s to the early 1900s? I believe Mrs. Louise Mallard and Jeanne can both agree that it was not easy. The short story ââ¬Å"The Story of An Hourâ⬠and the drama ââ¬Å"Im Goingâ⬠will show that being a wife in that era was not all about passion and perfect families, but about control and dominance. Although the stories were written during two different time periods, the modern period and the Victorian period, there were still many similarities in both relationships.
